The dossier to incorporate a two-member limited liability company
* A two-member limited liability company is chosen by a lot of people when they want to incorporate
business. This kind of company is suitable for enterprise which has small extent and does not have the
need of securities issuance to increase capital. To incorporate two-member limited liability company,
you have to prepare legitimate dossier in accordance with Vietnamese Law
* Legal ground:
- The Enterprise Law 2014
- Artical 22 of Decree No. 78/2015/ND-CP on Enterprise Registration
- Appendix of Circular No. 20/2015/TT-BKHDT on directive Enterprise Registration
* The dossier consists of:
- The written request for enterprise registration ( Form provided in Appendix I-3 of Circular No.20 /
2015 / TT-BKHDT)
- Charter of the company (signed by legal representative or authorized representative in each page)
- The list of members of the company (Form provided in Appendix I-6 of Circular No.20 / 2015 / TT-
BKHDT)
- Valid copies of the following documents:
+ One of the personal indentification documents in case the founder of enterperise is an
individual;
For Vietnamese citizens: Valid citizen ID or ID card or Vietnamese passport.
For foreigners: Foreign passports or papers valid to replace foreign passports.
+ Incorporation Decision or Enterprise Registration Certificate or other equivalent document,
one of the personal identification documnets of the authorized representative and the corresponding
authorization letter in case the founder of enterprises is an organization;
+ Investment Registration Certificate for enterprises which is established or participated in the
establishment by a foreign investor or an economic organization with foreign capital in accordance
with the Law on Investment and other documents of instruction.
- Other documents:
+ The document confirming legal capital by competent agencies or organizations (for enterprises
conducting lines of business which legal capital is required by law).
+ A valid copy (notarized or certified copy which is granted by the agency) of the Practising
Certificate of the Director (General Director) and other individuals specified in Clause 13, Article 4 of
the Enterprise Law 2014 ( for some business professions which are required The Practicce Certification
by law)
