Procedures for the purchase of contributed capital portion by foreign investor in an economic organization conducting business under conditional business line.

 

1. Legal grounds
1.1. Article 26 of Law on Investment 2014
1.2. Article 46 of Decree No. 118/2015/ND-CP
          Pursuant to the provision of Point a, Clause 1, Article 26 of Law on Investment 2014, "Foreign investor who contributes capital, purchases share or contributed capital portion of economic organization operating under conditional business line, applicable to foreign investor”, must carry out the procedures for registration of the purchase of the contributed capital portion.
2. Procedures for the purchase of contributed capital portion by foreign investor in an economic organization conducting business under conditional business line.

2.1. The dossier consists of:

1. Document for the registration of the purchase of the contributed capital portion:

• Information on economic organization;
• The ratio of the charter capital ownership of foreign investor after purchasing the contributed capital portion.

1. Identity card or passport for individual investor;
2. Certificate of Incorporation or equivalent document for institutional investor.
   1. Number of dossier: 01 set.
   2.  The processing competent authority: Department of Planning and Investment
   3. Processing time limit: 15 working days.

Pursuant to the provision of Clause 3, Article 46 of Decree 118/2015/ND-CP, after the economic organization having foreign investor purchasing the contributed capital portion received notification from the Department of Planning and Investment, it must carry out the procedure for changing member at the Business Registration Office pursuant to the provisions of the Enterprise Law.
