Procedure for the establishing branch of enterprise
Branch is the dependent unit of the enterprise, which has the task to carry out whole or a part of enterprise’s function including authorized representative function. Branch’s business line must be in accordance with enterprise’s business line. The enterprise has the right to establish branch inside country and ouside country. The enterprise can set one or more branches in one area in alignment with administrative boundaries.
1. Dossier for establishing branch of enterprise (in case of establishing branch inside VietNam)
- The notice of establishing branch
- A copy of establishing decision and the meeting report about the establishment of branch.
- A copy of citizen identification card, the people's identity cards, passport or legal personal identification of the branch leader.
- Authorization document (in case procedure is conducted through the representative)
2. Procedure for establishing branch of enterprise
- The Enterprise or the authorized representative send the operating registration dossier of the branch to the Business Registration Agency where enterprise sets the branch.
- Within three working days from the receiving date of the dossier, the Business Registration Agency shall assess the validity of the dossier and grant the Certificate of Branch Operation Registration. In case of refusing to grant the Certificate of Branch Operation Registration, Business Registration Agency must announce by document stating the reason, and request for modification and supplement.
- Within five working days from the grant date of the Certificate of Branch Operation Registration, the Business Registration Agency must send the information to the Business Registration Agency where the enterprise sets its headquarters and send registration information to Tax Authorities and Statistical Agency. The enterprise shall send registration information to other competent state agencies of the same level and District-level people's committee where the branch is located.
